In plain terms - SoftBank is reportedly near closing a $40 billion loan syndication for OpenAI (Tech in Asia, 22 July 2026). Same week, SoftBank secured a $1.75 B loan for the ABB deal. That's ~$42 B of new debt on SoftBank-adjacent balance sheets in a matter of days, much of it terminating in AI capex.

Contexte

The AI capex build-out has moved from equity funding to debt financing at a rate that S&P and the BIS have both flagged in the last quarter. Oracle's downgrade to BBB- in June came from exactly this pattern: 90-95 Bn $ FY27 capex, of which ~half is contracted to OpenAI. The SoftBank syndication compounds that structural pattern.

Two things become visible at $40 B. First, the AI capex chain is starting to look like a project-finance stack: infrastructure debt at the bottom, GPU-lease receivables in the middle, model-revenue equity at the top. That's the pattern of every prior hardware boom (fibre 1999, tanker shipping 2007, shale 2014). It works until the top-line revenue slows.

Second, this is the first time in the AI cycle that a single non-hyperscaler backer is arranging debt at hyperscaler scale for a single AI customer. If SoftBank is the arranger of record for $40 B tied to OpenAI, then a Vision-Fund-style balance-sheet event at SoftBank becomes an OpenAI event, and vice versa. The circular equity risk (Nvidia → OpenAI → Nvidia) that BIS flagged now has a debt equivalent.

For a CFO looking at compute contracts: the counterparty risk on your compute provider now includes their creditor. That was not true a year ago.

  • Base case (55%) : syndication closes at reported terms; markets absorb it; capex build-out continues.
  • Tightening (30%) : one or two of the syndicate banks pull back; deal downsized to $25-30 B; spread widens.
  • Reprice (15%) : credit market repricing forces a chunk to public bond markets at yields visibly reflecting AI-capex concentration risk.

Implications

For a CFO signing multi-year compute: read the credit stack under the counterparty. For an infra investor: the arranger-of-record risk is now systemic - SoftBank ≈ a shadow AI-capex bank.
